User Agreement
This User Agreement ("Agreement") is entered into by and between you (hereinafter referred to as "User") and Smart Panda Game Entertainment Technology Co., LTD. (hereinafter referred to as "Company"), as an agreement governing your use of the Company's mobile gaming applications and related services (collectively referred to as the "Services").
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms and conditions of this Agreement, you must not access or use the Services.
1.1 The Services are intended for personal, non-commercial use only. Users must be at least 18 years old, or the legal age of majority in their jurisdiction, to use the Services.
1.2 By using the Services, you represent and warrant that any information provided by you is accurate, current and complete.
1.3 You agree to comply with all applicable laws, regulations, and third-party agreements in connection with your use of the Services.
1.4 The Company reserves the right to modify, suspend, or terminate the Services at any time and for any reason without prior notice.
2.1 You shall not use the Services for any unlawful or fraudulent activities, or to engage in any behavior that may harm or disrupt the Services or other users.
2.2 You shall not attempt to circumvent, disable, or interfere with any security-related features of the Services.
2.3 You shall not engage in any form of cheating or utilize any unauthorized software or tools to gain an unfair advantage in the Services.
2.4 You shall not engage in any conduct that violates the rights of the Company or any third party, including but not limited to intellectual property rights, privacy rights, or publicity rights.
3.1 The Services may include virtual currency, coins, tokens, or other virtual items ("Virtual Currency") that can be purchased or acquired through gameplay.
3.2 Virtual Currency has no real-world value and cannot be exchanged for legal currency or any other tangible or intangible item.
3.3 The purchase or acquisition of Virtual Currency is final and non-refundable.
3.4 The Company reserves the right to modify, suspend, or terminate the availability or value of Virtual Currency at any time without notice.
4.1 The Services may include in-app purchases of Virtual Currency or other virtual items.
4.2 By making an in-app purchase, you authorize the Company or its third-party payment processors to charge the applicable payment method for the selected purchase.
4.3 All in-app purchases are final and non-refundable, except as required by applicable law.
5.1 All intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, in the Services and its content belong to the Company or its licensors.
5.2 You shall not copy, modify, distribute, sell, lease, or create derivative works based on the Services or any part thereof without the Company's prior written consent.
6.1 You agree that any dispute arising out of or in connection with this Agreement shall be settled by arbitration in accordance with the rules of the Hong Kong International Arbitration Centre (HKIAC).
6.2 The arbitration shall be conducted in Hong Kong and decided by a single arbitrator appointed by HKIAC.
6.3 The language of the arbitration shall be English.
6.4 The decision of the arbitrator shall be final and binding on all parties.
6.5 This arbitration clause is governed by and shall be interpreted under the laws of Hong Kong.
7.1 To the fullest extent permitted by applicable law, you and the Company agree to waive the right to participate as a member of a class action or any other representative proceeding.
7.2 Any dispute, whether in arbitration or court, will be conducted solely on an individual basis and not on a class, consolidated, or representative action.
By accepting this User Agreement, you acknowledge that you have read, understood, and agree to be bound by all of its terms and conditions.
